01

Agreement to these Terms

These Terms and Conditions govern access to and use of the A2Z Software Solutions website, onboarding flow, hosted workspaces, desktop software, support services, implementation materials, documentation, and related point-of-sale software features.

By creating an account, submitting onboarding information, accessing a workspace, installing the desktop software, or using the service, you accept these Terms for yourself and for the business or organization you represent. If you act for a business, you confirm that you have authority to bind that business.

If A2Z and a customer sign a separate order form, statement of work, subscription agreement, data processing agreement, or implementation agreement, that written agreement controls only where it expressly conflicts with these Terms.

02

Business software scope

A2Z provides retail POS software, tenant-aware company workspaces, desktop access, onboarding tools, reporting features, support, and implementation assistance. A2Z is a software provider, not a hardware supplier.

A2Z does not source, sell, install, configure, warrant, insure, repair, replace, or maintain registers, receipt printers, label printers, barcode scanners, cash drawers, payment terminals, network equipment, cables, paper rolls, labels, or other physical supplies unless a signed written agreement says so.

Customers are responsible for choosing compatible devices, maintaining local networks and operating systems, confirming peripheral compatibility, training staff, and keeping store procedures compliant with laws, payment processor rules, tax rules, employment obligations, and industry requirements.

03

Customer responsibilities

You must provide accurate company, store, billing, tax, contact, onboarding, and workspace information, and you must keep it current. A2Z may rely on that information to provision workspaces, route support, configure access, and administer subscriptions.

You are responsible for all users, roles, permissions, passwords, devices, local backups, export files, staff actions, and account activity under your control. You must promptly disable access for staff who no longer need it and notify A2Z of suspected unauthorized access.

You are responsible for the legality and accuracy of records entered into A2Z, including products, prices, taxes, discounts, customers, staff records, transaction records, delivery information, and inventory counts.

04

Accounts, tenant separation, and access controls

A2Z workspaces are intended to separate customer businesses by company account, login slug, role permissions, and data boundaries. You must not attempt to access another company workspace or bypass tenant, role, authentication, authorization, rate-limit, or security controls.

You must use unique credentials, protect administrative accounts, enforce appropriate staff permissions, and use only accounts assigned to authorized users. Shared accounts, test accounts, and administrator accounts must be controlled carefully.

A2Z may suspend, restrict, or require credential resets where A2Z reasonably believes an account, workspace, tenant boundary, integration, or device is creating a security, privacy, legal, operational, or non-payment risk.

05

Acceptable use

You must not use A2Z to violate law, infringe rights, misrepresent transactions, process unlawful goods or services, upload malicious code, probe or attack systems, scrape non-public data, overload infrastructure, interfere with other customers, or use the service in a way that compromises security or privacy.

You must not store full payment card numbers, card verification codes, bank credentials, government identity documents, health information, biometric information, or other sensitive personal information in A2Z unless A2Z has expressly provided a feature and written terms for that category of data.

Payment processing, gift cards, loyalty, tax filing, payroll, accounting, ecommerce, messaging, or other third-party services are governed by their own providers' terms. You are responsible for configuring those services lawfully and for reviewing their fees, rules, and data practices.

06

Customer data and privacy

As between A2Z and the customer, the customer retains ownership of business data submitted to the service, including store profiles, catalog records, inventory records, transaction records, customer records, staff records, configuration data, support requests, and uploaded materials.

You grant A2Z the limited right to host, process, transmit, store, secure, back up, troubleshoot, analyze, and use customer data as needed to provide, protect, maintain, improve, and support the service and to comply with law.

You are responsible for giving legally required notices and obtaining legally required consents from your staff, customers, and business contacts before entering their personal information into A2Z. A2Z's Privacy Policy describes A2Z's own privacy practices and must be read together with these Terms.

07

Fees, billing, taxes, and plan changes

Fees, billing cycles, implementation charges, renewal terms, cancellation rules, refund eligibility, taxes, and payment methods are set out in the applicable checkout flow, invoice, order form, service agreement, or written proposal.

Unless written terms say otherwise, fees are due when invoiced, are exclusive of applicable taxes, and may be suspended for non-payment. You are responsible for taxes, duties, levies, payment processor charges, chargebacks, bank fees, and other amounts connected to your use of the service.

A2Z may change plans, features, or pricing over time. If a change materially affects an active paid subscription, A2Z will provide reasonable notice through the website, workspace, invoice, email, or other business contact channel.

08

Availability, support, and changes to the service

A2Z will work to provide reliable service, but online services may be interrupted by maintenance, internet outages, third-party provider issues, hosting incidents, security events, device failures, local network issues, or events outside A2Z's reasonable control.

Support commitments, response targets, implementation services, migration assistance, training, custom development, integrations, and service levels apply only if they are described in the plan, invoice, proposal, or written agreement for your account.

A2Z may update, modify, suspend, replace, or discontinue features where needed for security, compliance, reliability, product improvement, vendor changes, or business reasons. A2Z will use reasonable efforts to avoid materially reducing paid core functionality without notice.

09

Intellectual property

A2Z and its licensors retain all rights, title, and interest in the software, source code, interfaces, workflows, designs, documentation, trademarks, logos, product names, and related materials. These Terms do not transfer ownership of A2Z intellectual property to you.

You may not copy, reverse engineer, decompile, modify, resell, sublicense, rent, lease, provide service bureau access to, or create derivative works from the service except as allowed by mandatory law or a signed written agreement.

Feedback, suggestions, and requests you provide may be used by A2Z without restriction or compensation, provided A2Z does not disclose your confidential business information except as allowed by these Terms or the Privacy Policy.

10

Confidentiality

Each party may receive non-public business, technical, pricing, security, implementation, or operational information from the other party. The receiving party must protect confidential information using reasonable care and use it only for the relationship covered by these Terms.

Confidentiality obligations do not apply to information that is public through no fault of the receiving party, already known without restriction, independently developed, received lawfully from another source, or required to be disclosed by law or valid legal process.

11

Disclaimers

Except for warranties expressly stated in a signed written agreement, A2Z provides the service on an as-is and as-available basis. A2Z does not promise that the service will be uninterrupted, error-free, perfectly secure, compatible with every hardware setup, or suitable for every business requirement.

A2Z is not responsible for customer-entered data errors, incorrect tax settings, staff misuse, local hardware issues, local network failures, unsupported operating systems, third-party payment processors, or third-party services outside A2Z's control.

12

Limitation of liability

To the maximum extent permitted by applicable law, A2Z is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of goodwill, business interruption, lost data, replacement services, or loss arising from hardware, networks, third-party providers, or customer-controlled systems.

To the maximum extent permitted by applicable law, A2Z's total aggregate liability for all claims related to the service is limited to the amounts paid to A2Z for the affected service during the three months before the event giving rise to the claim, unless a signed written agreement states a different limit or applicable law does not permit that limit.

13

Indemnity

You will defend and indemnify A2Z against claims, losses, damages, penalties, costs, and expenses arising from your unlawful use of the service, customer data submitted by you, your breach of these Terms, your violation of third-party rights, your hardware or local network environment, or your failure to provide required privacy notices or consents.

A2Z will promptly notify you of an indemnified claim where legally permitted and will reasonably cooperate in the defence. You may not settle a claim in a way that admits fault by A2Z or imposes obligations on A2Z without A2Z's written consent.

14

Suspension, termination, and data export

A2Z may suspend or restrict access to address security risks, privacy risks, non-payment, suspected unauthorized access, legal requirements, harmful conduct, excessive usage, or material breach. When practical and safe, A2Z will provide notice and an opportunity to resolve the issue.

You may stop using the service or cancel according to the applicable plan, order form, invoice, or written agreement. After termination, access may end and A2Z may retain, export, delete, de-identify, or archive data according to the Privacy Policy, backup cycles, legal obligations, payment records, dispute needs, and written data retention terms.

15

Governing law and disputes

Unless a signed written agreement states otherwise, these Terms are governed by the laws of Canada and the laws of the Canadian province in which A2Z Software Solutions is established, without regard to conflict-of-law rules.

Before starting formal proceedings, each party must use reasonable efforts to resolve disputes through business escalation. Either party may seek urgent injunctive or equitable relief for security, confidentiality, intellectual property, or unauthorized access issues.

16

Contact and updates

A2Z may update these Terms as the service, law, operations, pricing, or business requirements change. Material changes will be communicated through the website, workspace, onboarding flow, invoice, email, or another reasonable business contact channel.

Questions about these Terms should be sent through the support or business contact channel provided during onboarding, in the workspace, in account materials, or in a signed written agreement with A2Z Software Solutions.
